These general terms and conditions of use and purchase (hereinafter, the “Terms of Purchase“) govern the procedure for you (hereinafter, “You”) contracting through this Website the licenses for the use of WIRIS software (hereinafter, the “Product“), offered by Maths for More, S.L.U. (hereinafter, “Wiris“), with registered office at Calle Roger de Flor, number 223-227, bajos, 08025 Barcelona (Spain), holder of Tax Identification Number (N.I.F.) B-62.019.716, through the website https://store.wiris.com (hereinafter, the “Website“).
These Terms of Purchase are governed by the Law 34/2002, of July 11, on Information Society Services and Electronic Commerce (Ley 34/2002, de 11 de julio, de Servicios de la Sociedad de la Información y de Comercio Electrónico) (hereinafter, the “LSSICE“) and, where applicable, by the Royal Legislative Decree 1/2007, of 16 November, which approves the revised text of the General Law for the Defense of Consumers and Users (Real Decreto Legislativo 1/2007, de 16 de noviembre, por el que se aprueba el texto refundido de la Ley General para la Defensa de los Consumidores y Usuarios) (hereinafter, the “LGDCU“), as well as any other complementary applicable legislation.
Contracting the Product implies knowledge and acceptance of these Terms of Purchase. As user of the Website, You acknowledge that You have the legal capacity to enter into a binding agreement with Wiris.
The Website is primarily aimed at consumers and end users, but it may also be accessed by authorized resellers acting on behalf of their clients. In case You are an authorized reseller (hereinafter, “Reseller”), You may purchase licenses through your reseller account for a number of end users, in the name and on behalf of those clients. In such cases, the contractual relationship for the use of the Product shall be deemed to exist between Wiris and You, and You shall be solely responsible for ensuring that your clients comply with the applicable license Terms of Purchase. Wiris shall not be liable for any misuse, misrepresentation, or breach by You or by the end users you represent. As a reseller, You may purchase individual or group licenses through the Website. In acse of a group license, the maximum amount that can be purchased by a reseller is up to 20 users. For any purchase exceeding this limit, You must contact Wiris directly at sales@wiris.com. A notice to this effect is displayed during the checkout process. Any unauthorized resale, distribution, or commercialization of the Product by third parties other than authorized resellers is strictly prohibited.
By ticking the corresponding acceptance box for these Terms of Purchase, and completing the steps required in the checkout process, You expressly accept these Terms of Purchase, which shall have the same validity as your handwritten signature. In this way, You acknowledge that You have sufficient capacity to acquire the obligations arising from your actions through the Website, and that You have previously read and understood its content.
In any case, in order to enter into contract with Wiris, You must be of legal age (at least thirteen (13) years of age) and have the necessary legal capacity to enter into agreements.
For the purposes of interpreting these Terms of Purchase, You shall be considered a user from the moment You accept these Terms of Purchase and the Privacy Policy displayed on the Website by purchasing the Product through the Website.
In accordance with the provisions of Article 23 of the LSSCIE, agreements entered into electronically shall have all the effects provided for under the legal system when consent and the other requirements necessary for their validity are met.
Access to the Product’s purchasing process through the Website is completely free, without any additional associated costs, apart from your own costs related to Internet access.
The Product is fully described in the corresponding product page made available to You on www.wiris.com, and any aspects not expressly indicated therein shall not be considered included. Unless expressly stated, the Product does not currently provide generative artificial intelligence (GenAI) features, including AI-generated content creation or assistance tools.
The agreement between You and Wiris shall be deemed executed from the moment You complete the process of purchasing the Product. Completing all the phases of the electronic contracting procedure (checkout process) and providing all the requested information, together with ticking the acceptance box related to these Terms of Purchase, constitutes a direct manifestation of your willingness to accept these Terms of Purchase.
You must select the subscription plan of the Product that corresponds to your profile and intended use of the Product. You must read and accept the conditions of each Product plan.
After the order has been successfully processed and the payment is confirmed, You will receive an email confirming the purchase and the conditions of said purchase.
Wiris will file the electronic document in which the agreement is formalized. Said electronic document will be accessible to You in your user’s account at the Website, where it can be downloaded and printed and where these Terms of Purchase will be included. Additionally, Wiris will send You an email confirming the effective completion of the purchase, together with the corresponding invoice.
If Wiris detects that an order is fraudulent, false, or speculative, Wiris reserves the right to cancel said order without any right to claim a refund and, where appropriate, to inform the relevant authorities.
Pursuant to Article 27 of the LSSICE, all information related to the purchase process is made available to You prior to the commencement thereof, and shall only apply in the event that You decide to proceed with the contracting through the Website.
The language in which the contracting process is displayed and the agreement is formalized will depend on your browser or IP settings. By default, the Website will appear in the language corresponding to your location; if that language is not available, the Website will be displayed in English. Additionally, You may select another available language at any time if You wish.
Prior to the purchase of a subscription to the Product, You are entitled to a free trial period of thirty (30) days. No payment method or credit card details are required to activate the free trial.
The free trial is separate from and not counted toward any subsequent paid subscription. Upon expiration of the free trial period, You must purchase a subscription to the Product, with a minimum term of one (1) year, in order for You to continue having access to the Product.
The applicable price for the Product will be the price displayed on the Website at the time You initiate the contracting process, as detailed in Step 3 – “Subscription Options” – of the checkout process.
Wiris reserves the right to modify the current prices or promotional terms at any time, and at its own discretion. Such modifications will come into force as detailed in these Terms of Purchase.
Accepted payment methods for the contracting of the Product through the Website shall be those shown at the time of contracting at the beforementioned Website, which may include but are not limited to the following:
Wiris also reserves the right to refuse payments made with cards issued by financial institutions located in jurisdictions subject to international or European sanctions or restrictions, in compliance with applicable regulations on anti-money laundering, counter-terrorist financing, and international sanctions.
The subscription to the Product is for the duration of one (1) year and shall automatically renew for equal periods, unless otherwise indicated by You any time prior to the renewal date through your user’s account in the Website. In the event that You do not wish to renew the subscription, You must cancel the subscription’s automatic renewal through the Website at any time prior to its renewal date.
If the price of the Product has increased at the time of the renewal compared to the initial price, said new price will be applied from the renewal date. Wiris will notify You by email at least thirty (30) calendar days prior to the renewal date about any price increase.
Wiris informs You that the cancellation of the subscription to the Product before its expiration date on your end does not entitle You to a refund of any amount paid at the time of contracting.
In accordance with the provisions of Articles 102 et seq. LGDCU, You have the right to withdraw from the purchased Product within a period of fourteen (14) calendar days from the date of purchasing (excluding the Free Trial period) or renewing said Product, without the need for justification and without any penalty. In such a case, You are entitled to receive the full refund of the amount paid and Your subscription will be immediately terminated.
To exercise this right, You must notify Wiris of your decision to withdraw from the agreement by means of an unequivocal statement (an e-mail to sales@wiris.com) within the aforementioned period.
All licenses purchased through the Website include technical support for the duration of the subscription, as well as access to all Product updates released within said period.
You commit to using the Website and the Product lawfully, without contravening current legislation, or harming the rights and interests of third parties.
You guarantee the veracity and accuracy of the data provided when completing the electronic document in which the agreement is formalized and guarantee that You will update the data provided to Wiris when necessary.
Failure to comply with any of these Terms of Purchase may result in the withdrawal or cancellation of the subscription to the Products.
Wiris shall not be liable for failures or delays in the provision of the service resulting from circumstances beyond its control or force majeure causes including, but not limited to, sabotage, fires, floods, earthquakes, strikes, or malfunction of the service resulting from the incorrect functioning of telephone lines, power lines and global and/or national networks, such as, but not limited to, breakdowns, overloads, interruptions.
You exonerate Wiris from any present or future liability regarding the use and/or risk that You personally assume with the information and/or content generated through the usage of the Product.
In any case, the Parties mutually agree and acknowledge that in all cases the liability of Wiris shall not exceed the total amount paid by You to Wiris under the initial subscription of the Product.
Wiris reserves the right to suspend, modify, restrict or interrupt, either temporarily or permanently, the access, browsing, use, hosting and/or downloading of the content and/or use of Products from the Website, with or without prior notice, without the possibility of You demanding any compensation for this reason.
All logos, trademarks and trade names displayed on the Website are the property of Wiris and their use is conditioned by Wiris’ company policies.
The articles, information, codes, software and other materials on this Website and the Product are protected by Industrial and/or Intellectual Property law. This means that You may not (except as provided in these Terms of Purchase and applicable law) modify, copy, reproduce, add to, distribute, communicate to the public, transform or use any information or documentation from the site without the written consent of Wiris.
All personal data provided during the purchase process of the Product will be processed in accordance with Wiris’ Privacy Policy (https://www.wiris.com/en/privacy-policy).
Wiris reserves the right to modify the Terms of Purchase stipulated herein, in whole or in part, by publishing any change in the same manner in which these Terms of Purchase appear or through any type of communication addressed to users. The modifications of the prices of the Products, established in their particular conditions, will be notified to You at least thirty (30) calendar days prior to the renewal. The modifications made to the prices will not affect in any case the purchases You have made previously; but will apply to future renewals.
These Terms of Purchase will take effect from the first moment You use the Product, and will also be reflected in new orders for the Product that You request from the date of entry into force of the forementioned Terms of Purchase.
Wiris may inform and/or collaborate with the competent administrative, police, and/or judicial authorities in case of suspected or confirmed violations of applicable legislation or if it suspects the commission of a crime.
If any provision of these Terms of Purchase is declared null and void or unenforceable, in whole or in part, by any competent court, tribunal or administrative body, such nullity or non-application shall not affect the remaining provisions of these Terms of Purchase.
The failure of Wiris to exercise or execute any right or provision contained in these Terms of Purchase shall not constitute a waiver thereof, unless acknowledged and agreed to in writing by Wiris.
These Terms of Purchase shall be governed by Spanish law, which shall apply to all matters not expressly regulated herein, including their interpretation, validity, and enforcement. The parties expressly waive any jurisdiction that may be applicable to them and expressly submit to the Courts and Tribunals of Barcelona to resolve any controversy that may arise in the interpretation or execution of these contractual conditions.
